The Supervisory Council is responsible for general governance issues, with the exception of those issues that are designated by law, or by Pivdennyi Bank's charter, as being the responsibility of the General Shareholders' Meeting. The Supervisory Council determines the Bank's development strategy and objectives, elects Chairman of the Board (CEO) and members of the Management Board, and coordinates their activities.

The Supervisory Council meets as necessary and takes decisions by simple majority vote when at least half of the elected members are present, unless otherwise required by law or Pivdennyi Bank's Charter. The members, who are elected at the General Shareholders' Meetings, may be re-elected an unlimited number of times. Remuneration of the members is approved by the General Shareholders' Meeting.

The new Supervisory Council was elected by Pivdennyi Bank's shareholders at the General Shareholders' Meeting held on 04 September, 2008. The five members include:

• Born on January 21st, 1950, in Odessa. Resident of Ukraine, domiciled in Odessa.
• Higher education – Master of mathematics, certified in Assets management by State Securities and Fund Market Commission

• 1990 – Small Enterprise "Kompaniony", Director and owner
• 1992 – "Tekom" Ltd., General director and owner
• 1995 – Chairman of the Supervisory Council and major shareholder of JSB "Pivdennyi"
• 2006 – Chairman of the Supervisory Council and major shareholder of Regional Investment Bank, owns major stakes in a number of holding companies

MARK BEKKER

• Born on May 11th, 1945 in Vladivostok, Russia. Resident of Ukraine, domiciled in Odessa
• Higher education, degree in refrigeration technologies engineering
• Recent activities:
• 1997-2006 – "Vivien" Ltd., Director and owner
• since 2003 – Vice-chairman of the Supervisory Council and major shareholder of JSB "Pivdennyi", owns major stakes in a number of holding companies

• Acting First Deputy Chairman of the Management Board
• More then 8 years of banking experience
